For over seventeen years, Wenhao has been active in legal practices in the areas of foreign investment, cross-border M&A, VC/PE and capital markets.

 

Foreign Investment. Wenhao has regularly advised multinationals in doing acquisitions and investments in China. Wenhao has helped clients establish over sixty joint ventures and wholly-foreign owned enterprises in China. Wenhao has accumulated considerable experience on all sorts of issues faced by foreign invested companies in China, such as approval and registration, compliance, anti-corruption and anti-bribery, foreign exchange, customs, taxation, labor, relocation, liquidation and dissolution.

 

Cross-border M&A. Wenhao has worked as lead counsel in assisting public and private companies in China in acquisition of companies in the United States, Canada, Germany, Slovakia, Finland and Chile in the following business sectors: manufacturing, new technology, environmental protection, medical devices, etc. Wenhao is very familiar with roadmaps and key considerations in design and implementation of cross-border transactions. 

 

Fund Formation. Wenhao has regularly advised clients on formation of VC/PE funds denominated in RMB or USD as well as formation of fund managers in respect of structure design, drafting of fund formation documents, tax planning and registration and filing. Wenhao has helped establish angel fund, growth fund, “new third board” fund, real estate fund, culture and entertainment fund, M&A fund, government-led fund and Pre-IPO fund in the following legal forms: limited partnership fund, limited liability company fund, contractual fund and qualified foreign limited partnership (QFLP).

 

VC/PE Investment. Wenhao represents many well-recognized USD funds and RMB funds in making investments in Chinese and foreign companies at every stage including seed, angel, VC, PE and pre-IPO investments in forms of equity, debt and convertible loans. His services include investment structure design, legal due diligence, drafting of investment documents and issuance of legal opinions. 

 

VC/PE Financing. Wenhao also represent a large number of Chinese and foreign companies in receiving USD and RMB investments. In the past years, Wenhao has helped many Chinese companies create VIE structures and red-chip structures to receive USD investments. In recent years, he has helped some of them dismantle VIE structures in anticipation of listing on China’s stock markets. Wenhao also has rich experience in design and implementation of employee stock option plans. 

 

Capital Markets. Wenhao has assisted many large State-owned enterprises and private companies in successful issuance of bonds denominated in USD and in RMB in Hong Kong. Wenhao has also represented many companies in IPOs on the stock markets of China, the United States, Hong Kong and Taiwan.
